Terms of Service

1. Acceptance of Terms

By creating an account or using SWGrinder ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

SWGrinder is an automated gameplay tool for the online game "Shinobi Warfare." The Service performs in-game actions (missions, boss fights, event farming, daily claims) on your behalf using your game credentials. The Service operates entirely server-side.

3. Game Terms of Service Violation

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• Use of SWGrinder constitutes a violation of Shinobi Warfare's Terms of Service.
• Your game account may be suspended, banned, or permanently deleted by the game's operators.
• SWGrinder bears no responsibility for any action taken against your game account.
• You assume full risk of all consequences resulting from automated gameplay.
• No refund will be issued if your game account is banned while using the Service.

4. Account Eligibility

You must be at least 18 years old to use the Service. By registering, you represent that you are the rightful owner of the game account you link. Linking a game account you do not own is a violation of these Terms and grounds for immediate account termination.

5. Game Account Linking

• Each game account (game username) can be linked to only ONE SWGrinder email address.
• Once linked, the binding is permanent and cannot be transferred.
• You provide your game credentials voluntarily. They are encrypted at rest and used solely for the purpose of operating the grinder on your behalf.
• SWGrinder is not responsible for game credential exposure caused by factors outside our control (e.g., malware on your device, reused passwords).

6. Free Trial

• Each game account receives a one-time free trial of 50,000 XP.
• The trial is per game account, not per character. All characters under one account share the 50,000 XP budget.
• The trial cannot be reset, transferred, or extended.
• Attempting to circumvent trial limits (multiple accounts, identity spoofing) will result in permanent ban.

7. Payment, Refunds, and Chargebacks

7.1 Payment Authorization

By completing a purchase, you expressly authorize the charge to your selected payment method. You confirm that you are the authorized holder of the payment instrument used. All purchases are final at the time of payment unless otherwise stated in this section.

7.2 Service Delivery

The Service begins processing your order immediately upon payment confirmation. Digital services (XP grinding, level boosting, hourly sessions) are delivered in real time and cannot be "returned" once execution has started. By purchasing, you request immediate performance of the digital service. To the extent permitted by applicable law, you acknowledge that any cancellation or withdrawal right that would otherwise apply to digital content or digital services may be reduced or lost once delivery begins.

7.3 Refund Policy

• Before service begins: Full refund available if the grinder has not yet started processing your order.
• After service begins: No refund is available once grinding has started, as the digital service has been partially or fully delivered.
• Technical failure on our end: If we fail to deliver the purchased service due to a verifiable technical issue with our platform (not the game server), you may request a pro-rated credit or partial refund by contacting us within 48 hours.
• Game account ban: No refund is issued if your game account is banned, suspended, or otherwise actioned by the game operator during or after service delivery. You accepted this risk at registration.
• Game server downtime: If the game's servers are unavailable during your session, we will pause your timer and resume when the game returns. No refund is issued for game-side downtime.

7.4 Chargeback Policy

YOU AGREE TO THE FOLLOWING REGARDING CHARGEBACKS AND PAYMENT DISPUTES:

• We ask that you contact us directly before opening a payment dispute so we can investigate the issue and attempt resolution quickly.
• We retain detailed, timestamped records of all transactions, service delivery confirmations, account activity, IP addresses, session logs, and XP delivered. These records will be submitted as evidence in any chargeback dispute.
• If you file a chargeback after services have been delivered, we may contest the chargeback with documentation showing authorization, delivery, checkpointed runtime, and account usage.
• Your SWGrinder account may be suspended while a chargeback or payment dispute is under investigation. Confirmed fraudulent or abusive chargebacks may result in permanent suspension.
• If a payment is reversed after services were delivered, you remain responsible for the unpaid amount and any processor fees to the extent permitted by applicable law.
• We reserve the right to deny future service, deactivate entitlements, and pursue recovery or collection for fraudulent chargebacks where services were demonstrably delivered.
• Nothing in these Terms limits any non-waivable billing-error, charge-dispute, or consumer-protection rights you may have under applicable law or payment-network rules.

7.5 Pricing

All prices are in USD. Prices are subject to change without prior notice. The price at the time of purchase is the price you pay. No retroactive adjustments are made for price changes after purchase.

8. Prohibited Conduct

You agree not to:

• Probe, scan, or test the vulnerability of the Service.
• Attempt to access accounts or data belonging to other users.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service for any unlawful purpose.
• Circumvent rate limits, authentication, or entitlement checks.
• Create multiple accounts to abuse the free trial.
• Share or resell access to the Service.

9. Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Service at any time without notice. Scheduled or emergency maintenance may cause temporary downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWGRINDER AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF GAME ACCOUNTS, IN-GAME ITEMS, VIRTUAL CURRENCY, OR ANY OTHER INTANGIBLE LOSSES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 30 days preceding the claim.

11. Account Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, abuse of the Service, suspicious activity, or chargeback filing. Upon termination, your right to use the Service ceases immediately.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration. You waive any right to a jury trial or class action. You agree to first attempt to resolve any dispute informally by contacting us.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which the Service operator resides, without regard to conflict of law principles.

14. Indemnification

You agree to indemnify, defend, and hold harmless SWGrinder, its operators, affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including the game operator's Terms of Service; (d) any dispute between you and the game operator; (e) any chargeback or payment dispute you initiate.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

16. Intellectual Property

All software, design, text, and other materials comprising the Service are the property of SWGrinder or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war, terrorism, pandemics, government actions, internet outages, server failures, third-party service outages, game server downtime, or game operator actions.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SWGrinder regarding the Service. Any prior agreements, understandings, or representations are superseded.

20. General Catch-All

To the fullest extent permitted by applicable law: (a) SWGrinder shall not be liable for any loss, damage, or harm of any kind arising from your use of the Service, whether direct or indirect, foreseeable or unforeseeable, including but not limited to loss of game accounts, virtual items, virtual currency, in-game progress, reputation, revenue, data, or any other tangible or intangible loss; (b) you acknowledge that the Service interacts with a third-party game over which we have no control, and any changes, outages, bans, or actions by the game operator are entirely outside our responsibility; (c) you waive any and all claims against SWGrinder arising from circumstances not explicitly addressed in these Terms; (d) in any event where liability cannot be fully excluded, our maximum aggregate liability shall not exceed the lesser of $50.00 USD or the total amount you paid us in the 30 days prior to the event giving rise to the claim.
